Accept the agreement to use the service of PAYPAID

PAYPAID Service helps and facilitates you on payment/receipt, transfer / receipt and transmission only. The company acts as your representative to do such electronic transaction only. The rules / regulations / conditions / rights /obligations / limitations of rights / reservations / scope and liability of the parties according to this contract are binding upon your rights, duties and liability. You should read and understand this contract thoroughly. The company encourages you to print or record this contract into your hard disk to be used as the reference, and in case of questions about the company service, you could search for the additional information from the page “Questions, Answers”, clicking “Acceptance” or “Confirmation” or any text with same meaning for sending the data of payment through the service PAYPAID . It is deemed that you accept all agreements and conditions as being provided in this contract as well as the privacy policies and/or other references. In addition, it is deemed that you agree and accept that this contract is the contract between the company and you You should sign name for the binding effect or enforcement of any rights not provided in this contract. You agree that the company may do alterations / changes suitably and based on the approval of the company as well as agree to alter or change the partial and/or whole contracts. The company is not required to give prior notice to you, and both parties agree to consider that all amended agreements and conditions are effective instead of the existing agreements and conditions automatically. If it does not breach or violate against the legal provisions, the alteration or change shall be announced on the website PAYPAID. If it is not provided specifically or in the special case, all references relating to the term “bank” in this contract shall include the depository institute, and all references relating to the term “Visa Card” shall include the Visa Debit Card (Visa Electron), and the term “Master Card” shall include the debit card Master Card (Maestro). 1. Legal relationship between the service user and PAYPAID Co., Ltd. in this contract: the company acts as your representative to provide facilities to you only. The company shall not be liable for any damage, except for any negligent act and/or failure on duties of the company under the terms and conditions of this contract as the intention or gross negligence to exploit unlawful benefits only. You have studied and understood it well and accepted any risks as being caused from the financial transaction. The company is not the bank, and PAYPAID Service is the service of payment on your behalf. It is not the type of the business and/or service of the bank. The company does not manage the benefits of your investment, but acts only as your representative or custodian of your fund. You must not keep or maintain your fund in the system of PAYPAID or PAYPAID Account in order to use PAYPAID service, but if you keep your fund in the PAYPAID account, the company shall add your fund to the investment of other service users in the bank account (whole account) owned by the company. You agree and accept that the income or any other benefits in the whole account shall belong to the company. You agree not to receive the interest or any benefit while the company keeps the fund. Other currency than Thai Baht could not be kept in the bank account of PAYPAID. Your registration to use PAYPAID service is to assign the company to be your representative on payment / receipt / transfer / remittance. The company shall fulfill your wish and consent under the methods, terms and conditions of this contract, an such transaction must not have the purposes prohibited by law or in contrary to the peace or good moral of the people. Sending money through PAYPAID service or refill in the PAYPAID account, you agree to assign the company to act as your representative to receive your money and transfer money to the recipient specified by you or transfer to the PAYPAID account according to the rules and provisions provided in the service use agreement. The company shall pay the money from the deduction of your PAYPAID account as being kept in the whole account to the recipient and when you send money to the company and when the company send money to the recipient, which may occur immediately, if the recipient does not wish to receive the money, it is considered in this case that you own money in the same extent of the fund. The company shall possess the money as your representative, and you agree not to withdraw or remit the fund to other recipient, except that you have cancelled such remittance. In case of receipt through PAYPAID service, you agree to authorize the company to be your representative ti deposit money to the whole account of the company. You agree to authorize the company to withdraw or transfer money to the third parties based on the terms and conditions of this service use contract. If you receive the notice that you are paid through the PAYPAID service, and you does still not apply for PAYPAID service, the company could not act as your representative to receive the money. You could not receive the money until you have registered the application for PAYPAID service already. 2. Rights and duties / obligations and responsibilities of the service user of PAYPAID. 2.1 You may receive PAYPAID service when you apply for the PAYPAID account. You could use service to remit your money to the recipient, whom you specify, by paying from Visa Card / Master Card or deducting from the deposit account. You may use service in form of the recipient from the payment for the products or service or commercial transaction n any other manner, and you could use the PAYPAID account on receipt or remittance in the commercial activities of all types. You agree that if any transaction is done by using your password, it shall be deemed as if you had done by yourself in all respects, and you accept that you could not cancel, withdraw, change or alter any transaction, and you agree to be bound by the transaction in all respects. The company must not be liable for the damage being caused from any transaction, and you agree to be bound by the transactions in all respects. The company must not be liable for the damage from any transaction under your account by using the password. 2.2 You agree to give the correct and complete data of registration and are ready to give the latest data to the PAYPAID system as well as agree not to use the data of other person on registration. If the partial or whole data is untrue or incomplete or not updated. In whatever cases, the company and/or representative may suspend the service with you immediately without notice to you. 2.3 You agree to provide the correct data in the electronic mail as being presently used to the company by giving notice to the company in writing by registered mail or electronic mail (E-Mail) immediately upon change or cancellation of your e-mail address being registered with the company, and you agree that the company may get access to the internet service and your present e-mail address, and if the company tried to contact you based on the contact information given by you to the company at last time, but the contact could not be done with you, the company shall not be responsible for the electronic mail, which could not reach the recipient or damage from the inability to get access to the internet service or your e-mail address. In case of violation according to the first paragraph, you agree that the company may do the following actions: - Delete or suspend the e-mail address. - Use your second e-mail address for the contact on service. - Change your personal information relating to the notification through e-mail. 2.4 You agree to exercise the best care and keep the data, bank account, data of the credit card / data about the PAYPAID account and your password to be confidential. If other than the remittance or other person knows the data and/or the company is not liable for any damage from the data hacking. If you have any behavior or made attempt to use the PAYPAID service for other purpose than the remittance or receipt or management of your account as well as the data hacking, data change and attempt to destroy the security system or working of the PAYPAID service, the company may cancel your account immediately and you must be liable for any damage from the acts as well as the civil and criminal lawsuits according to the law. 2.5 You may allow the company or your representative to search for the data considered necessary by the company or representative to examine the accuracy of the data of your registration. The search may include the examination of the credit data or any data relating to the database of the third parties. 2.6 You agree that the company may disclose the data relating to you as being given to the individuals relating to any actions under this contract as the company deems necessary and proper without any consent from you, and you agree not to claim for any damage from the company. 2.7 You must be responsible to pay for all fees relating to the use of PAYPAID account or use of services i.e. fee payable to the bank on the financial transaction of the bank i.e. deposit or withdrawal etc. Te data relating to the fee rate of service is shown on the website PAYPAID. If you wish to obtain the tax invoice and/or tax withholding certificate as well as appoint the company to be its authorized representative to remit the withholding tax, you could show your intent by doing contact with the company at the company address or take actions based on the detailed procedures for the service user, who needs the tax invoice and tax withholding certificate as being shown on the website PAYPAID. 2.8 You may neither utilize this contract and/or any service of PAYPAID, nor do any transaction to exploit benefits from the illegal acts nor do any illegal acts according to the law nor do any act as the destruction, devaluation, loss of benefits or damage against the property and/or against the reputation of the company nor do any act to cause damage against other service users as well as have found any illegal acts through the website PAYPAID, you must give notice to the company immediately. 2.9 If the company has detected that you are related with any illegal acts and/or have any behavior as the violation against any or all clauses of this contract, the company may terminate the service with you immediately. You agree not to intervene and agree to provide assistance and all facilities completely to the company or its representative, the visitor or other member to get access to the parts being protected with password on your website. It is deemed that the company is not involved with your acts and must not be liable for any damage being caused from your acts, and in case of direct and indirect damage against the company from your acts, the company may file lawsuit against you both on the civil and criminal cases. 2.10 The electronic transaction or electronic commercial is risky. You have considered it carefully and agree to bear all risks and damage against you in all cases. If it is necessary to examine the corr3ectness or completeness of your transaction when the company notifies or gives notice of intent to you, you agree to furnish the details of the data and relating documents to the company or the bank as the service provider of payment by credit card immediately or within the deadline. In addition, you agree to provide reasonable assistance in order to obtain the documents and data without doing any act for destruction, devaluation, causing loss or damage, causing no use to the documents or data, and you agree not to do any act to intervene or block the working of the company or the bank. - If you receive money from he products sale / service or relating to other business type and it is found at later time that the bank or financial institute as the card owner could not collect money, denies the settlement or payment because the card owner cancels or suspends the card, or in case of any doubts about the circumstances of use of credit card or due to other causes in whatever cases, and the company has been deducted money from the deposit account of the company or the company reimburses the money to the bank or other financial institute, you agree to reimburse the money equal to the money reimbursed or deducted by the company from the company’s account together with the fee, which the bank collected from the company, to the company or agree that the company may deduct money from your PAYPAID account immediately. You agree not to raise any claim or allegation to deny such liability. If you fail to reimburse it and/or have no money in the PAYPAID account for deduction of the outstanding amount, you agree that the company may charge the interest from the outstanding amount in the rate of 1.25 percent per month since the date of reimbursement by the company or deduction from the company’s account. - If the company has detected any unfaithful and/or unlawful transfer, remittance or deposit into the PAYPAID account or it is believable about the unfaithful behavior on doing transaction through this service, the company shall suspend all or partial services as it deems proper immediately as well as shall forfeit the money for the period of not less than 30 days, so that you may exercise rights of appeal or objection and could submit the documents, witnesses or any other evidences and could do any act to prove the accuracy of such transaction within the deadline. If overdue and you still neglects it intentionally or could not prove your innocence and accuracy of such transaction, the company shall cancel the contract with you immediately, and any money in the PAYPAID System not being caused from the fault or error of the company, if no one shows intent to receive money, the money shall belong to the company for the accounting purpose only. However, if you and/or any person could submit the reliable evidences to prove the ownership for the money, the company agrees to pay back the net amount after deduction of the fee of service use and/or any cost for custody of the money (if any) to you within the deadline provided by the company. - If any transaction of transfer / remittance or deposit into the account of PAYPAID through the process verified by VISA is done unfaithfully by whatever methods, the money of such transaction shall be seized / confiscated in the system until the actual owner shows his intent to get the money back. If the company considers the evidences and it is believable hat any person owns the money actually, the company shall return the net amount after deduction of the service fee and cost of action to the actual owner within the period provided by the company. While no person shows his intent to get the money back, so that the preparation of the statement of income and expenses is done correctly, the company must perceive it, and it shall be deemed that the money of such transaction shall belong to the company in favor of preparation of the statement of the company according to the law. 2.11 You agree to receive the electronic media from the company i.e. contract of service use, other agreements as well as notices etc. relating to your PAYPAID account or relating to the use of PAYPAID service. On the communication by electronic mean, announcement on the website and/or communication through electronic mail, you could print he text or content of communication to be kept as evidence. The communication by electronic mail, either being done through electronic media or in any document form, shall be deemed as the communication in writing, and it shall be deemed that you shall receive the communication not over 5 working days since the date of notice or sending text to you, regardless whether you receive or open the text or not. The company reserves its rights to have no obligations to do communication in the document form. If you do contact with the company to cancel the communication through electronic media, the company must cancel the service for you. 2.12 You agree and grant consent that the company may terminate, withdraw and/or change the text of this contract either wholly or partially without prior notice, and you agree not to claim for any damage from the company. In case of change of the terms / conditions of this contract, you agree that the service according to this contract must be governed by and subject to the changed terms, conditions and rules automatically and immediately. The company shall give notice through website or by electronic mail (E-Mail). If you d not observe any conditions of this contract in any clauses, the company may give notice to terminate the contract through the computer online system or electronic mail to you immediately. 2.13 You may not use the Framing because the member of PAYPAID receive the warning that no data or password is not given to enter into the PAYPAID service through the existing web page (URL) not begun with https://www.PAYPAID.co.th/. Therefore, as the Framing or website of the third parties shows any part of the PAYPAID website on the web page not begun with https://www.PAYPAID.co.th/ is prohibited, the company shall not be liable for any damage due to the Framing or any act with same condition with such act. 2.14 PAYPAID Service is not aimed for the advanced withdrawal from the credit card. You agree not to do any act with the purpose of advanced withdrawal from your credit card as well as you must not give support or cooperation with such act and must have no such behavior. It includes also your remittance from the deduction of the credit card to th end receiver and receiving money from the payee. The company reserves its rights to cancel your account if the company has found that you have the behavior of the above act and must have no liability from your act. 2.15 You shall not transfer any rights or obligations according to this contract to other person without prior consent in writing from the company, and the company reserves its rights to transfer any rights / obligations according to this contract of the company without consent from you. 2.16 You shall not claim for any damage from the company or company officer if any damage being caused from the acts of the third parties affects against the use of your PAYPAID. The company considers that the acceptance of the agreement of use of your PAYPAID service allows the company to exercise rights to obtain the securities according to the law and rights of the company to receive the compensation according to this contract. The company may hold rights in the securities in your account, and the company may use your securities in the PAYPAID account to pay for outstanding debts to the company or other person according to the law. The rights in this part are provided in addition to the rights in other topics. 3. Conditions and methods to use PAYPAID service 3.1 On remittance through PAYPAID service, you must confirm your e-mail address with the company, and you must refill money into the credit card or savings or current account of the bank joining the service in order to do remittance. Could use the whole amount in your PAYPAID account for the remittance. However, you as the user of the e-mail address according to the main PAYPAID account, upon registration into the PAYPAID system with the true and accurate information, you could determine the coverage of remittance as well as rights to do any transaction through the PAYPAID system for the user of the e-mail address on the secondary PAYPAID account. 3.2 To receive money through PAYPAID service, you must confirm your e-mail address with the company to receive the earning. You may deny the receipt of income when any person sends money to you through PAYPAID service, the payee must not receive the money although the payee has opened the PAYPAID account already. The payee could deny the receipt. You as the payee know that the company shall not be liable for any damage as the result of the decision to deny the receipt and payment through any PAYPAID service being denied or not being referred. The receiver shall be cancelled on the date of refusal of such transaction or within 14 days since the date of remittance for the case not being referred by such person. 3.3 To refill money into your PAYPAID account, you could refill money into the PAYPAID account in 3 channels as follows: 3.3.1 You could refill money into the PAYPAID account from the Visa Card and/or Master Card and/or JCB Card without fee , and you could use the approved remaining coverage either partially or wholly of your Visa Card and/or Master Card and/or JCB Card to refill money into the PAYPAID account in order to prove, examine and confirm that you are the actual owner of the Visa Card and/or Master Card and/or JCB Card. To add the credit card on the system log-in at the first time, the company shall deduct an amount from 1.00 Baht to the maximum not over 5.00 Baht by random method. This amount shall be kept in the whole account, and you agree not to claim for any amount, interest or benefit while the company acts as the custodian of the money. After the company deducts the money by random method, you must do examination and search from your statement and confirm with the company again through the page “Confirmation of Credit Card”, so that h company ensures that you own the card actually without referring to the rights of other person unfaithfully. The details and procedures are shown on the website PAYPAID. 3.3.2 You could refill money into the PAYPAID account from deducting money in your bank account. You must pay for the account settlement fee to the bank as the account owner. 3.3.3 You could refill money into the PAYPAID account through the channel f the service provider to pay for the products and/or service (Counter Service). You bear the service charge collected by the service provider. The completed transactions of refill, remittance / receipt and/or any transaction through the PAYPAID service shall be effective and binding upon you in all cases, and you agree not to raise any allegation to deny the responsibility and/or compliance with this contract with the company in all cases, except that you give notice of the cause or doubtful circumstance about your use through PAYPAID service not done by you in order to suspend the service, and the company acknowledges or considers to acknowledge the notice. 3.4 To withdraw money from your PAYPAID account, you must confirm your registered e-mail address. You must open the coupled account between the bank account and your PAYPAID account for the accuracy to receive the company service before you could withdraw money from your PAYPAID account into such bank account. The refilled money from al channels could not be withdrawn from the account. 4. Rights and duties / obligations and reservations of the company 4.1 The company may raise objection against your service use. The company reserves its rights not to provide service to you and/or the company is not bound to enter into this contract with you, and it shall be deemed that the decision of the company is absolute. The company must not be liable for any damage or cost from the request to use this service. 4.2 The company shall deduct/deposit money from/into the bank account of Visa Card and/or Master card and/or JCB Card based on your request being done through the electronic media. The company shall take actions immediately. The company shall not be liable for any damage if the delay is not caused from the circumstance of the company and employee or company’s representative under responsibility or caused from other factors beyond control of the company, which causes the delay on transaction i.e. delay from the bank system or from any other force majeure etc. 4.3 The company shall terminate the contract with you due to whatever causes at anytime and whether you have any balance in the PAYPAID account o4r not. 4.4 If you violates against any clause of the terms and conditions of this contract or from any other causes and ether with or without your consent, the company reserves its rights to examine the credit data record of all service users, and the company may use its discretion to close an service based on the data from the examination of your credit. The company restricts rights to use the service of remittance or withdrawal from the above account subject to credit consideration. The company may restrict the rights for some services as it deems proper. You shall be given by electronic mail. If your account is restricted rights to use the service or if the company wishes to obtain the data to solve problems from you, and when the company examined it and found that you have risky behavior to cause damage against the PAYPAID service or against other service user of PAYPAID, the company shall close your PAYPAID account and suspend any service with you immediately and/or take other action as the company deems proper against you immediately. If the company found that you acted or were involved with the offense through the service system PAYPAID or you use and/or give notice of the false data to the company o you violate against any terms or conditions of this contract, and the company considers it as the severe offense, the company shall terminate the contract and/or close your PAYPAID account immediately. You agree not to file any lawsuit with the company to clam for the balance in your PAYPAID account. The company possesses it until the accuracy of the entitled payee is proven or any order is given from the relevant government authority. The company reserves its rights to deduct any fee or cost from the custody of such amount from the whole amount before sending back to the above receiver. 4.5 The company reserves its rights in the trademark /service mark PAYPAID.co.th, PAYPAID and other marks or service mark being provided in the website as well as header of the website, graphic, buttons or scripts . The company does not allow anyone to imitate or use any part or exploit benefits by any way unless the approval is granted in writing from the company. However, HTML logos allowed by PAYPAID for the business partners as well as logos of the “sale tools” to be used to support the company’s service for use without permission from the company, but the company reserves its rights not to allow for any alteration or change as the loss of benefits, defamation or causing damage in any respect against the company, and the company does not allow for using the symbol of the company to be used on the purpose showing the support or confirmation by the company, unless the cnsent is granted from the company. 4.6 The company shall maintain your fund separately from the fund used for action and not use it for other purpose of the company as well as not use your fund for he debt payment in case of insolvency of the company or other aspects. 4.7 If you violate or breach against the contract according to Clause 2 without reimbursement of the amount received by you from the payment for the products / service and/or business type / any other transaction for the company within the period provided in the notice, the company could exercise rights to deduct money from your account based on the methods provided in this agreement in the amount equal to the amount reimbursed by the company to the bank or equal to the amount deducted by the bank from the deposit account of the company with the bank, and if the balance in your account is not enough for the unpaid debts or insufficient to reimburse the amount, you must do payment or transfer the balance to the company immediately in the following cases: - The card holder refuses to pay for the products and/or service as being collected by the bank from whatever reasons. - If the bank has any doubt about the use and/or completeness and accuracy of the credit card or due to whatever reasons and the bank refuses the approval for the credit cad coverage, refuses the payment or cold not collect money due to whatever reasons. 4.8 When this contract is terminate due to whatever reasons, you agree that the company may deduct money from your account or seize your property n possession of the company until the company receives your outstanding payment due to the service provided b the company. 4.9 Other reservations - The company reserves its rights to hold your money for the longer period than he provided period if the amount is doubtful i.e. case of more frequent transactions etc. - The company shall not be liable for the damage as the payee, whom you nominates, fails to deliver the products or service or provides delivery in error or incorrectly or incompletely or dos any act as the breach against the agreement between the sender and receiver in all cases. The company shall not be liable for these events. - If the damage is caused from the acts of other person as the violation or causing any damage against the service user. - If the damage is the consequence from the circumstance beyond the control of the company or in case of any force majeure as well as damage from the loss, disclosure of the personal information re relating to the privacy that you could not use PAYPAID service or website and it includes the case that the company warns you about the damage. - The company shall not be liable for the intentional or negligent acts on the duty performance of the third parties i.e. service provider of telecommunication and internet service as well as hardware or software computer service or situation beyond the control or in case of any other force majeure i.e. fire accident, flood, other natural disaster, war, riot, strike, damaged device, computer virus, failure of the electric or telecommunication system etc. 5. Rights to transfer money by electronic mean and solving the problem and error 5.1 You could check all your transactions from the page “Transaction Record”. If any transaction is not done b you or your done transaction does not appear on the page “Transaction Record”, please notify the company immediately on the page “Contact Us” and you must give the following information: 1. Your name and e-mail address 2. Doubtful or uncertain transaction and explain the details of error or inaccuracy of the transaction. 3. About the amount of the doubtful transaction, the company shall make all attempts to investigate the facts as soon as possible and shall report the investigation result to you immediately when the company knows the actual data although PAYPAID service is provided to you at all times, but the company officer could provide service to you during the normal working days from Monday to Friday, except for providing service on the bank’s holiday. 5.2 You could examine the statement or your retrospective transactions at all times by logging into your account. 6. Termination of the contract 6.1 Termination of this contract does not cancel or withdraw the rights of the company and your liability for the fee, coast, interest or any other amount payable by you as beng provided in this contract. 6.2 When the contract is terminated because you violate against the terms and conditions of this contract either partially or wholly or in whatever cases, or if you receive money or any other asset improperly, you must return the money or asset immediately on your own cost. In case of violation, the company may demand as well as claim for the actual damage from your act as well as file lawsuit. You agree not to refer to any allegation to deny the responsibility. 6.3 Liability in case of the contract breach: The breaching party agrees to be liable for all costs of legal action i.e. notice, demand, lawyer fee, court fee, compensation, vehicle cost etc. 6.4 To close the PAYPAID account, you could close the account by completing the application form for closing PAYPAID account. You must specify the e-mail address being registered with the company, PSBID code, information of the bank account for the company to transfer the balance and complete the details in the application form as well as attach the document, copy of the Identification Card, copy of the bank statement on first page and power of attorney (if you are the juristic person)and send all documents to the company office. After the company receives all documents, the company shall transfer the balance after deduction of the deposit fee into the bank account provided by you within 7 working days. 7. Miscellaneous 7.1 All evidences or any documents as well as the electronic data received by the company from you or gathered or processed by the company with the electronic data as evidence to provide service to you as the absolute evidence binding upon you to prove the debts and/or service use by you and/or other service user jointly with you although the data of all types shall be the electronic data. All writings / letters / data / notices sent to your address or by e-mail to the e-mail address as being provided or amended / changed / added shall be deemed to be duly sent. 7.2 As the company exempts any practices for you partially or wholly either once or several times, it is not deemed that the company waives the intention of this contract partially or in some clauses. It means that you must observe this contract strictly in al clauses throughout the term of this contract. 7.3 If the property or products must be claimed from the third parties, you must use full attempts ad take an actions normally of the commercial business type and provide own service on your own cost. 7.4 If any clause of his contract becomes void or incomplete, the parties agree to consider that the valid or complete parts shall be separated from the vid or incomplete part and effective.

Data collection and reservation of personal information Relating to the rules to open PAYPAID account, you must give the information about the name, address, telephone number, e-mail address, and to do transaction through PAYPAID, you must give the information of Visa MasterCard, Debit Card Visa (Visa Electron) or bank account with PAYPAID.
